1Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "user") and MedFlow Technologies ("Medflow," "we," "us," or "our"). By accessing or using the Medflow website and any related services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
2Eligibility
You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
3Description of Medflow
Medflow is a technology and marketing services company serving healthcare practices, with an initial focus on cosmetic surgery and aesthetic medicine practices. Medflow may provide services such as:
- Website and digital marketing services
- Lead generation
- Patient inquiry and intake workflows
- Appointment request and scheduling tools
- CRM and communications workflows
- Automated follow-up
- Phone, SMS, email, and web-based communications
- AI-enabled or automated administrative tools where applicable
- Analytics and operational tools for healthcare practices
4Medflow Is Not a Healthcare Provider
Important Notice
Medflow is not a healthcare provider. Medflow does not practice medicine, diagnose medical conditions, recommend treatments, determine whether someone is a candidate for any procedure, provide medical advice, or establish a physician-patient relationship. All medical decisions and services are provided exclusively by the independent healthcare practices and licensed healthcare professionals using or advertising through Medflow.
5No Medical Advice
Nothing on the Medflow website or in any communication from Medflow constitutes medical advice. Any content related to medical procedures, treatments, or health conditions is provided for general informational purposes only and should not be relied upon as a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare professional with any questions regarding a medical condition.
6No Physician-Patient Relationship
Your use of the Services does not create a physician-patient relationship between you and Medflow or any of its employees, agents, or affiliates. Any physician-patient relationship exists solely between you and the independent healthcare provider you choose to engage with.
7Emergencies
Medflow is not an emergency medical service.
Do not use Medflow or its Services for medical emergencies. If you are experiencing a medical emergency, call 911 or your local emergency services immediately, or go to the nearest emergency room.
8Healthcare Provider Independence
Healthcare practices and providers accessible through or advertised on the Medflow platform are independent parties. Medflow does not control, and is not responsible for, clinical decisions, diagnoses, treatment recommendations, pricing, medical outcomes, availability, or quality of care provided by any healthcare practice or provider. You acknowledge that any engagement with a healthcare provider is a separate relationship governed by that provider's own terms, policies, and professional obligations.
9Appointment and Consultation Requests
- Submission of an appointment or consultation request through Medflow does not guarantee an appointment.
- Appointments may require confirmation, approval, or scheduling by the healthcare practice.
- You are responsible for providing accurate and complete information when submitting requests.
- Healthcare practices may have their own cancellation, rescheduling, or no-show policies.
10User Responsibilities
Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms.
Prohibited Conduct
You agree not to:
- Submit false, misleading, or fraudulent information through the Services.
- Interfere with or disrupt the Services or the servers, networks, or systems connected to the Services.
- Attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services.
- Use any automated means (including bots, scrapers, or spiders) to access, collect data from, or interact with the Services without our prior written consent.
- Use the Services in any way that violates applicable laws or regulations.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Upload, transmit, or distribute any viruses, malware, or other harmful code.
11Communications
By providing your contact information through the Services, you may receive communications from Medflow or the healthcare practices you have requested contact with via:
- Email— you may opt out of marketing emails at any time by clicking the "unsubscribe" link in any email.
- Telephone — you may receive calls related to your inquiries or appointment requests.
- SMS / Text messaging — if applicable, consent to receive marketing text messages is not a condition of purchasing any goods or services. Message and data rates may apply. You may opt out at any time by replying STOP. Reply HELP for assistance.
12Intellectual Property
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, trademarks, service marks, images, software, designs, and compilation thereof — are owned by or licensed to Medflow and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent, except as permitted by law.
13Third-Party Services and Links
The Services may contain links to third-party websites, applications, or services that are not owned or controlled by Medflow. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Medflow shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party services.
14Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices regarding the collection, use, and disclosure of your information.
15Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. MEDFLOW EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
MEDFLOW DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. MEDFLOW MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING ANY HEALTHCARE OUTCOMES, THE QUALITY OF CARE PROVIDED BY HEALTHCARE PRACTICES, OR THE ACCURACY OF ANY INFORMATION PROVIDED THROUGH THE SERVICES.
16Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEDFLOW, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your access to or use of (or inability to access or use) the Services.
- Any conduct or content of any third party on the Services.
- Any content obtained from the Services.
- Unauthorized access, use, or alteration of your transmissions or content.
- Any healthcare services, treatments, or outcomes resulting from interactions facilitated through the Services.
17Indemnification
You agree to defend, indemnify, and hold harmless Medflow, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys' fees) arising from: (a) your use of and access to the Services; (b) your violation of any provision of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that information you provided through the Services caused damage to a third party.
18Suspension or Termination
We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without cause, with or without notice, and without liability to you. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
19Changes to Services
Medflow reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
20Changes to Terms
We reserve the right to revise these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the changes. We encourage you to review these Terms periodically.
21Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Nevada, and the parties hereby consent to personal jurisdiction and venue therein.
22Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the state or federal courts located in Nevada, in accordance with the Governing Law section above.
23Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
24Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by Medflow on the Services, constitute the entire agreement between you and Medflow regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
